1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Retone ai ("Company," "we," "us," or "our") governing your access to and use of the Retone ai platform, including our AI voice agent services, APIs, and related technologies (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

2. Description of Service

Retone ai provides an AI-powered voice agent platform that enables businesses to create, deploy, and manage automated voice interactions. Our Service includes:

  • AI voice agent creation and customization tools
  • Phone number provisioning and management
  • Voice cloning and custom voice creation
  • Call recording, transcription, and analytics
  • Integration with third-party services (CRM, calendars, etc.)
  • API access for developers
  • Knowledge base and training capabilities

3. Account Registration

To use certain features of the Service, you must register for an account. When you register, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your login credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access or security breach

You must be at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

4. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to use the Service to:

4.1 Prohibited Uses

  • Violate any applicable laws, regulations, or third-party rights
  • Engage in fraud, deception, or misrepresentation
  • Harass, abuse, or threaten others
  • Send unsolicited communications or spam
  • Impersonate any person or entity
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to any systems
  • Collect or harvest personal information without consent
  • Use the Service for any illegal telemarketing activities

4.2 Voice AI Specific Restrictions

  • You must disclose to end users that they are interacting with an AI voice agent at the start of each call
  • You may not use voice cloning to impersonate individuals without their explicit written consent
  • You may not create voice agents that provide medical, legal, or financial advice unless properly licensed
  • You may not use the Service to make automated calls in violation of TCPA, GDPR, or other applicable regulations
  • You may not use the Service to detect or infer emotions without disclosure and consent
  • You may not create deepfakes or misleading synthetic media

4.3 Content Restrictions

  • No content that promotes violence, hatred, or discrimination
  • No sexually explicit or pornographic content
  • No content that exploits minors
  • No content that infringes intellectual property rights
  • No malware, viruses, or malicious code

5. Subscription and Billing

5.1 Pricing and Plans

Access to certain features requires a paid subscription. Current pricing is available on our website. We reserve the right to modify pricing with 30 days' notice.

5.2 Billing

  • Subscriptions are billed in advance on a monthly or annual basis
  • Usage-based charges (additional minutes, phone numbers) are billed in arrears
  • All fees are non-refundable except as expressly stated
  • You are responsible for all applicable taxes

5.3 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

6. Intellectual Property

6.1 Our Intellectual Property

The Service and its original content, features, and functionality are owned by Retone ai and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 Your Content

You retain ownership of any content you upload to the Service, including knowledge base materials, scripts, and voice samples. By uploading content, you grant us a limited license to use, process, and store such content solely to provide the Service.

6.3 AI-Generated Output

Subject to these Terms, you own the output generated by your AI voice agents. However, we retain the right to use anonymized and aggregated data to improve our AI models.

7. Data and Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.

You are responsible for ensuring that your use of the Service complies with all applicable data protection laws, including obtaining necessary consents from individuals whose data is processed through the Service.

8. Compliance with Laws

You agree to comply with all applicable laws and regulations, including but not limited to:

  • TCPA: Telephone Consumer Protection Act (US)
  • GDPR: General Data Protection Regulation (EU)
  • CCPA/CPRA: California Consumer Privacy Act
  • BIPA: Biometric Information Privacy Act (Illinois)
  • HIPAA: If handling protected health information
  • FCC Regulations: Related to telecommunications
  • EU AI Act: Where applicable

9. Third-Party Services

The Service may integrate with third-party services (CRM systems, calendars, telephony providers). Your use of such integrations is subject to the terms and privacy policies of those third parties. We are not responsible for third-party services.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any defects will be corrected. AI-generated outputs may contain errors or inaccuracies.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL RETONE AI, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

Our total liability for all claims related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Retone ai and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content you upload or create using the Service
  • Your failure to comply with applicable laws

13. Termination

We may terminate or suspend your account immediately, without prior notice, for any reason, including if you breach these Terms. Upon termination:

  • Your right to access the Service will cease immediately
  • We may delete your data after a 30-day grace period
  • You remain liable for any outstanding fees
  • Provisions that by their nature should survive will survive termination

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of New Zealand, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved through binding arbitration, except that either party may seek injunctive relief in court for intellectual property violations.

16. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and Retone ai regarding the Service
  • Severability: If any provision is found invalid, the remaining provisions remain in effect
  • Waiver: Failure to enforce any right does not constitute a waiver
  • Assignment: You may not assign these Terms without our consent
  • Force Majeure: Neither party is liable for delays due to circumstances beyond reasonable control
